Agreement to These Terms
These Terms of Use ("Terms") are a legally binding agreement between you and Human in the Loop Services LLC, a Wisconsin limited liability company ("HLS," "we," "us," or "our"), governing your access to and use of the website at humanintheloopservices.com and its informational content (the "Site").
By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
Services Are Governed by a Separate Agreement
The Site is informational. Nothing on the Site is an offer to enter into a contract, and the descriptions, scopes, and any pricing shown are indicative only. Paid engagements — including any Shadow AI Audit or advisory work — are governed exclusively by a separate written Master Services Agreement and Statement of Work signed by you and HLS. Where those agreements and these Terms conflict, the signed agreements control with respect to the engagement.
What the Site Provides
The Site offers information about our services, along with worksheets, resources, and the ability to request information or book a call. We may update, change, or remove any part of the Site at any time without notice.
No Professional, Legal, or Compliance Advice
HLS provides operational AI oversight and audit services. Our Site content, worksheets, and the diagnostic work we perform are operational tools — not legal advice, regulatory advice, or a certification. A Shadow AI Audit and our other services are a pre-compliance operational screen and do not constitute a regulatory or certification audit.
We do not guarantee any particular compliance outcome, audit result, or regulatory determination. You remain responsible for your own legal and regulatory obligations and should consult qualified legal and compliance professionals for advice specific to your circumstances.
Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose;
- Attempt to gain unauthorized access to the Site or its systems;
- Interfere with or disrupt the Site;
- Scrape, copy, or redistribute Site content without our permission; or
- Use our name, logos, or branding without authorization.
Intellectual Property
All content, features, and functionality of the Site — including text, graphics, logos, worksheets, and templates — are owned by Human in the Loop Services LLC and protected by intellectual property laws. Where we make a worksheet or template available for download, we grant you a limited, non-exclusive, non-transferable license to use it for your own internal business purposes. All other rights are reserved.
Third-Party Links and Services
The Site may link to or rely on third-party websites and services (such as scheduling and hosting providers). We do not control and are not responsible for the content, policies, or practices of any third party.
Disclaimers
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMAN IN THE LOOP SERVICES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SITE.
Liability arising from a paid engagement is governed by the limitation-of-liability terms of the applicable Master Services Agreement, not by these Terms.
Indemnification
You agree to indemnify and hold harmless Human in the Loop Services LLC and its members, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Site or your violation of these Terms.
Governing Law
These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-law provisions. Any disputes arising from these Terms or your use of the Site shall be resolved in the state or federal courts located in Wisconsin.
Changes to These Terms
We may modify these Terms at any time. We will post the updated Terms on this page and revise the "Last updated" date above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
